Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of the Caelxo Cloud residential-IP server hosting service, operated by Caelxo LLC, a Washington State limited liability company (“Caelxo”, “Caelxo Cloud”, “we”, “us”, or “our”). By ordering, accessing, or using any Caelxo Cloud server or related service (the “Service”), you agree to be bound by these Terms and by our Acceptable Use Policy, which is incorporated here by reference. If you do not agree, do not order or use the Service.
1. The Service and where it operates
Caelxo LLC is organized in the State of Washington, United States, and the Service is provided from the State of California, United States. The Service provides dedicated servers that egress through genuine U.S. residential IP addresses, carried over 5G Fixed Wireless networks operated by U.S. telecommunications carriers (AT&T, Verizon, and T-Mobile) and over Starlink LEO Satellite Internet. The Service is operated within the United States and is intended for use within the United States.
Residential IP space is a scarce, high-trust resource. To keep it clean and lawful for legitimate customers over the long term, the Service is built around real-time traffic auditing and a strict allow-list (whitelist) model, described below.
2. Compliance with United States law
You are solely responsible for ensuring that your use of the Service complies, at all times, with all applicable laws and regulations of the United States — including federal law, the laws of the State of Washington, and the laws of the State of California — as well as the terms of service of any third party whose platforms you access. Any use of the Service that violates these laws, or that is intended to facilitate such a violation, is strictly prohibited and is grounds for immediate termination. The detailed prohibitions are set out in the Acceptable Use Policy.
3. Eligibility and ordering
You must be at least 18 years old and legally able to enter into these Terms. All plans are ordered and managed through the Caelxo Cloud Dashboard. This marketing website hosts no account, login, or checkout; it links to the Dashboard, where ordering takes place. You are responsible for keeping your Dashboard credentials secure and for all activity under your account.
4. Traffic auditing and monitoring — your consent
To protect the integrity of the network and to comply with applicable U.S. law, the Service operates full Deep Packet Inspection (DPI) and real-time traffic auditing across all connections. Every packet that enters the network is within the scope of auditing.
By using the Service, you expressly acknowledge and consent to this auditing. If you cannot accept traffic auditing, or you require absolute privacy or non-inspection of your traffic, do not purchase the Service. The Service is not designed for, and may not be used for, any unlawful, deceptive, fraudulent, or high-risk activity.
5. How traffic is routed — whitelist and WARP split-tunnel
To preserve the purity of the native residential IP, traffic is routed according to the following model:
- Native residential egress (whitelist). Your genuine residential IP is used only to reach destinations that we have reviewed and approved (for example, mainstream AI platforms and compliant streaming services). See the Acceptable Use Policy for the default allow-list.
- Cloudflare WARP split-tunnel (everything else). Any destination not on the whitelist — ordinary websites and unknown traffic — is automatically routed out through a Cloudflare WARP tunnel. Your server still has normal internet access, but this traffic does not consume or expose your residential IP.
This design keeps your residential IP from being spent, burned, or blacklisted by target sites.
Data metering. Your plan’s monthly data allowance is a single pool. Traffic that egresses over your native residential carrier line (T-Mobile, AT&T, Verizon, or Starlink) is metered at full rate (1×). Off-whitelist traffic is routed, at your choice, either through Cloudflare WARP at 0.2× (each 1 GB consumes 0.2 GB of your allowance, ≈ 5× further) or through a pure datacenter IP (IDC) at 0.1× (≈ 10× further). The Unlimited Dedicated Line plan includes unlimited off-whitelist traffic, subject to fair use.
6. Acceptable use
Your use of the Service must comply at all times with our Acceptable Use Policy. The AUP describes both the destinations that are allowed by default and the categories of activity that are strictly prohibited and hard-blocked. Prohibited activity includes, without limitation, any violation of U.S. law and any fraud, abuse of government or identity systems, payment and financial fraud, shipping-label and marketplace fraud, romance scams, and network abuse (DDoS, port scanning, spam, piracy).
7. Enforcement
We audit the network continuously. If our DPI auditing detects prohibited or high-risk activity, we may immediately suspend or terminate your server, delete its data, and close your account — without prior notice and without refund. We do not accept appeals or explanations for activity on the high-risk list defined in the AUP.
8. Identity verification (KYC), data, and law enforcement
- Third-party KYC. The default whitelist requires no identity verification. Where KYC is required (for example, to unlock a destination outside the default whitelist), it is performed by independent third-party verification providers. We do not want to hold your personal identity documents and do not retain that data ourselves beyond what is necessary to operate and secure the Service.
- Unblock requests. If you have a legitimate, lawful business need to reach a destination outside the default whitelist using the native residential IP, open a support ticket through the Dashboard explaining the reason and complete third-party KYC. Approved destinations are added to the whitelist at our sole discretion.
- Law enforcement. We will preserve and disclose customer and traffic information to law enforcement and government authorities when required to do so under lawfully served court orders, search warrants, subpoenas, or other valid legal process, and as otherwise required by law.
9. Plans, billing, and refunds
- Plans are offered as four carriers × seven data tiers (50 GB / 100 GB / 200 GB / 500 GB / 1 TB / 2 TB / Unlimited Dedicated Line, bidirectional monthly data), each as a dedicated residential server.
- Pricing is set per data tier and may vary by carrier and tier. All pricing is subject to change before launch and from time to time thereafter.
- One person, five devices. Each data-limited plan (every tier other than the Unlimited Dedicated Line) is licensed for use by one person and on up to five (5) devices only.
- No sharing without permission. Except for Unlimited Dedicated Line plans, a plan may not be shared with, or resold to, any other person or user without Caelxo Cloud’s explicit prior permission.
- Fees are billed monthly and in advance. Unless required by law, all fees are non-refundable, including where an account is suspended or terminated for violating these Terms or the AUP.
- Plan data is a single allowance: residential-line traffic at 1×; off-whitelist traffic via Cloudflare WARP at 0.2× or via a datacenter IP (IDC) at 0.1× (your choice). The Unlimited Dedicated Line includes unlimited off-whitelist traffic, subject to fair use.
- Exceeding a plan’s monthly transfer allowance may result in throttling, additional charges, or suspension, as described on the Dashboard at the time of order.
10. Service availability and disclaimers
The Service depends on third-party carrier and satellite networks that we do not control. Residential connectivity may vary in speed, latency, IP rotation, and availability. We do not guarantee any specific IP address, geolocation, uptime, throughput, or that any given destination will be reachable. Provisioning timelines are estimates and may move earlier or later than projected.
11. Suspension and termination
We may suspend or terminate the Service, in whole or in part, at any time for violation of these Terms or the AUP, for risk to the network or to the residential IP pool, for non-payment, or as required by law. You may stop using the Service at any time through the Dashboard. Sections that by their nature should survive termination (including auditing consent, disclaimers, limitation of liability, and indemnification) will survive.
12. Disclaimer of warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
13. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CAELXO LLC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID TO US FOR THE SERVICE IN THE ONE (1) MONTH IMMEDIATELY BEFORE THE EVENT GIVING RISE TO THE CLAIM.
14. Indemnification
You agree to indemnify and hold harmless Caelxo LLC and its operators from any claims, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to your use of the Service or your violation of these Terms, the AUP, or applicable law.
15. Governing law and venue
These Terms are governed by and construed in accordance with the laws of the United States of America and the State of Washington, without regard to conflict-of-laws principles. You agree to the exclusive jurisdiction and venue of the state and federal courts located in the State of Washington for any dispute arising out of or relating to the Service or these Terms.
16. Language
These Terms, the Acceptable Use Policy, and all related policies are written and executed in English, which is the official and controlling version. Any translation (including Simplified Chinese) is provided for convenience and understanding only. In the event of any conflict, ambiguity, or discrepancy between the English version and any translation, the English version governs, and we are not responsible for any inconsistency or error in a translated version.
17. Changes to the Service and these Terms
We may modify the Service or these Terms at any time. Material changes will be reflected by updating the “Last updated” date above and, where appropriate, announced through our official channels. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
